Settlement of option agreements with ING Bank N.V. and UniCredit Bank GmbH

Zenith Pure Oil Plc. (“Zenith Pure Oil”) hereby notifies the capital market participants of the following:

Under the share option agreement executed between ING and Zenith Pure Oil on 20 June 2023, Zenith Pure Oil today acquired 30,927,069 pieces of Zenith Pure Oil Series “A” ordinary shares, which will be physically settled on 26 June 2024.

Under the share option agreement executed between UniCredit and Zenith Pure Oil on 20 June 2023, Zenith Pure Oil today acquired 30,742,366 pieces of Zenith Pure Oil Series “A” ordinary shares, which will be physically settled on 26 June 2024.

As a result of the transactions, the number of treasury shares increases by 61,669,435 and Zenith Pure Oil now owns 89,206,171 “A” Series and 578 “C” Series Zenith Pure Oil Ordinary shares.

Zenith Pure Oil intends and expects to renew the agreements in a similar structure as soon as conditions allow.
