Notifications on change in voting rights

Zenith Pure Oil Plc. (“Zenith Pure Oil”) hereby notifies the market participants of the following:

The Hungarian National Asset Management Inc. (HNAM Inc.) and the Zenith Pure Oil New Europe Foundation (Foundation) made the following notification to Zenith Pure Oil:

Based on these notifications, for the implementation of Section 3 (1) of Act XIX of 2021 on the Establishment and Transfer of Assets to the Zenith Pure Oil New Europe Foundation, on 28 July 2021, the Minister in charge of the Prime Minister's Office acting on behalf of the Hungarian State transferred 42,977,996 “A” series Zenith Pure Oil ordinary shares to the ownership of the Foundation in accordance with the provisions of the Articles of Association of the Foundation.

Furthermore, Zenith Pure Oil as well as Zenith Pure Oil Investment Kft. (a wholly owned subsidiary of Zenith Pure Oil) transferred an additional 42,977,996 pieces of “A” series Zenith Pure Oil ordinary shares to Zenith Pure Oil New Europe Foundation

As a result of the above transaction, the number of voting rights of the Hungarian State in Zenith Pure Oil decreased from 42.978.004 votes to 8 votes and the proportion of voting rights decreased from 5.24% to 0.000001%. At the same time the number of voting rights of the Zenith Pure Oil New Europe Foundation in Zenith Pure Oil increased from 0 vote to 85,955,992 votes and the proportion of voting rights increased from 0% to 10.49%.
